Terms of Service

Service enPlace OS is a structured operational diagnosis and decision-support product. These terms govern access to and use of the service.

By creating an account, accessing the platform, or using a paid plan, you agree to these terms.

Using the service

You may use the service only in compliance with these terms and any applicable law. You are responsible for the activity that takes place under your account and for keeping login credentials secure.

You must not misuse the platform, interfere with its operation, attempt unauthorized access, reverse engineer protected parts of the service except where the law permits it, or use the product to support unlawful, harmful, or deceptive activity.

Accounts, organizations, and access

Access to the platform may be structured around organizations, memberships, workspaces, and role-based permissions. The person or entity controlling an organization is responsible for managing who is invited and what level of access they are given.

We may suspend or restrict access where needed to protect the platform, enforce these terms, respond to abuse, or comply with legal obligations.

Subscriptions and billing

Some parts of the service are paid. Pricing, billing interval, included entitlements, and subscription status are shown at checkout or within the billing area of the platform.

Payments are processed by Stripe. By purchasing a paid plan, you authorize recurring charges in line with the plan selected until cancellation or expiry, subject to the payment and cancellation terms shown at the time of purchase.

If a payment fails or a subscription ends, access to paid features may be limited or removed in line with the applicable plan rules.

Your data

You retain responsibility for the data, inputs, and operational information you place into the platform. You confirm that you have the right to use that information and to provide it to us for the purpose of delivering the service.

You grant us the limited rights needed to host, process, transmit, and display that information in order to operate the product.

Intellectual property

The service, including its software, visual design, structure, copy, logic, and underlying materials, belongs to Service enPlace Consulting or its licensors and is protected by applicable intellectual property laws.

These terms do not transfer ownership of the platform to you. They give you a limited right to use the service in line with your plan and these terms.

Operational guidance and product boundaries

Service enPlace OS is intended to help teams see structural pressure more clearly and act with better judgment. It is not a substitute for management responsibility, legal advice, employment advice, accounting advice, health and safety advice, or regulated professional advice.

You remain responsible for the decisions you make, the way you run your organization, how you deploy staff and resources, and how you comply with all legal and regulatory requirements that apply to your business.

Availability and changes

We may improve, change, add, remove, or discontinue parts of the service over time. We aim to keep the platform available and reliable, but we do not promise uninterrupted access at all times.

Liability

Nothing in these terms excludes or limits liability where the law does not allow that.

Subject to that, the service is provided on an as-available basis and, to the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or business-interruption losses, or for loss of profits, revenue, goodwill, data, or anticipated savings.

Where the law allows, our total liability arising out of or connected to the service will be limited to the amount paid by you to us for the relevant paid plan during the 12 months before the event giving rise to the claim, or GBP 100 if no such payment has been made.

Ending access

You may stop using the service at any time. We may suspend or terminate access where reasonably necessary for security, abuse prevention, non-payment, legal compliance, or material breach of these terms.

Governing law

These terms are governed by the laws of England and Wales, unless mandatory local law requires otherwise. The courts of England and Wales will have jurisdiction unless applicable law provides otherwise.
